NIGERIA LNG LIMITED INVITATION FOR EXPRESSION OF INTEREST FOR THE CALL-OFF CONTRACT FOR PLANT MODIFICATION FOR NIGERIA LNG LIMITED

INTRODUCTION Nigeria LNG Limited (NLNG) plant complex located on Bonny Island, Rivers State, Nigeria, consists of six natural gas liquefaction trains with a total capacity of 22 million tons of Liquefied Natural Gas (LNG) and five (5) million tonnes of Natural Gas Liquids (NGL) per annum. The plant has associated gas receiving, treating, storage and loading facilities as well as utilities (electrical power generation, water, air, nitrogen etc.) and support infrastructure (offices, residential accommodation, school, hospital, airstrip, jetties etc.).

NLNG intends to award a call-off contract for the execution of brownfield projects and plant changes at its complex on Bonny Island and its other operational facilities in Rivers state.

NLNG hereby invites reputable interested companies with relevant experience in brownfield project/construction in gas production plants, oil refineries, chemical/power plants or similar heavy industrial production facilities to submit an Expression of Interest (EOI) for the purpose of pre-qualification for the Plant Modification Contract. The companies considered to meet the pre-qualification requirements will subsequently receive invitations to tender for the works.

SCOPE OF WORK The Contractor shall be required to execute multiple streams of complex and critical works for Turn Arounds, Plant Upgrades and Rejuvenation Projects for the Company, all requiring high productivity in a brownfield environment on a call-off-basis.

The Contractor shall be required to fully set up on the island within the Company plant facility in Bonny Island and provide all management, administration, supervision personnel, mobilisation, demobilisation, temporary site facilities, plant, transportation, accommodation, equipment, parts, materials, tools, instruments, services, attendances, consumables, data, drawings, measurements and any other resources, requirements or activities whether of a temporary or permanent nature and shall with all due care and diligence execute the work and satisfactorily perform all of its specific and implied obligations under the Call-off Order received from the Company. There is no guaranteed level of work to be done under this contract, hence no guarantee of a minimum payment by the Company to the Contractor.

The contractor will have full accountability to manage each protect and will be responsible for the following activities:

(a) Site Set-Up and Overall integration

(b) Construction Management

(c) HSE Co and Management

(d) Community Relations Management

(e) Nigerian Content Delivery and Reporting

(f) Planning, scheduling and Cost Estimating

(g) Quality Assurance and Control

(h) Project Control

(i) Minor Engineering and Design Services

(j) Technical Services/Provision of Specialists/Skilled Resources

(k) Procurement Management

(l) Pre-commissioning and Commissioning.

The scope covers the following multi-disciplines listed below;

(1) Civil Works (i) Concrete work (including excavation, sand filling, soil-cement stabilization, form work and rebar works)

(ii) Structural steel work

(iii) Asphalt work

(iv) Inspection and Testing (including destructive and non-destructive tests)

(2) Mechanical / Piping Works (i) Process Piping / Pipeline Welding

(ii) Non-Destructive Testing

(iii) Equipment Integration & Commissioning

(iv) Post Weld Heat Treatment

(v) Pressure Testing

(vi) Fabrication

(3) Electrical Works (i) Cable Laying and Terminations

(ii) Inspection and Testing

(iii) Equipment Installation and Integration

(iv) Electrical Installation Works

(v) Commissioning

(4) Instrumentation Works (i) Field Instrument Installation

(ii) Cable Laying and Termination

(iii) Inspection and Testing

(iv) Instrumentation equipment Integration

(v) Commissioning

(5) Scaffolding & Fabric Works (i) Blasting & Painting

(ii) Hot and Cold Insulation

(iii) Fireproofing

(iv) Scaffolding works over 30meters

(6) Procurement Services (i) Mechanical / Piping procurement

(ii) Instrumentation and Electrical procurement

(iii) Structural steel

(v) Logistics and Freight forwarding activities

(7) Specialists works (i) HV cable terminations e.g. Phisterer and Rechem terminations

(ii) Original Equipment manufacturers (OEM contacts) and execution

(iii) Hazop and Heard workshops with reputable consultants

(iv) Minor Engineering and Design work

(v) Pipeline pigging

(vi) Factory acceptance tests (FAT)

(vii) 3 rd Party inspections via reputable companies

(viii) Heavy lifts

(ix) Use of pressurized Habitats for hot work activities through NLNG approved vendors.

PRE-QUALIFICATION INFORMATION Only companies considered to meet NLNG/s pre-qualification requirements shall receive further correspondence from Compare including receipt of invitations to tender for the Call-off Contract.

To qualify for consideration, interested companies are required to respond to this invitation with the following information/documents for consideration. Failure to submit any of the under-listed documents may lead to disqualification.

(a) Respondent’s confirmation of interest to participate in the pre-qualification exercise for a call-off contract for the plant modification services in NLNG plants.

(b) Certificate of Incorporation and CAC documents (forms CO2 and CO7)

(c) Current/Valid DPR certificates to operate as an Engineering, Procurement, Construction company and to do business in the Nigerian oil and gas industry; Major Construction / Heavy Duty Equipment Supply, Installation & Maintenance /Pipelaying and Construction etc. as issued by the Nigerian Upstream Petroleum Regulatory Commission (NUPRC) and/or the Nigerian Downstream and Midstream Petroleum Regulatory Authority (“NMDPRA”);

(d) Health Safety & Environment Policy and Quality Policy;

(e) Company profile, organisation, size and structure, including any parent, technical partnership, alliance or joint venture of companies to whom they belong, together with:

(1) CV of the vendor’s management team;

(2) CV for a minimum of ten (10) technical key personnel within the organisation available for the work

(f) Detailed list of relevant experience with evidence to demonstrate capability and experience in undertaking/completing brownfield standalone EPC/PC type project within the last 10 years. Kindly indicate names of clients, location and cost or volume of services provided

(g) Detailed list of relevant experience with evidence to demonstrate capability and experience in undertaking/completing call-off type construction contracts for portfolio type projects within the last 10 years. Kindly indicate names of clients, location and cost or volume of services provided.

(h) Detailed list of relevant experience with evidence to demonstrate capability and experience in undertaking/completing management of Procurement of Long Lead items and managing relationships with OEMs within the last 10 years. Kindly indicate names of clients, location and cost or volume of services provided.

(i) Detailed list of equipment/machinery resources, including ownership or lease available for the work

(j) Details of existing in-country facilities e.g. fabrication yards/workshops for different disciplines owned/operated by vendor

(k) Financial audited accounts for the last three (3) years and evidence of capacity to fund the contract

(l) Tax clearance certificates for the last three (3) years

(m) Evidence and documentation supporting compliance with the Nigerian Oil and Gas Industry Content Development (NOGICD) Act 2010 (See Nigerian Content Compliance section below)

COMPLIANCE WITH NIGERIAN CONTENT (NOGICD ACT 2010) The Nigerian Oil and Gas Industry Content Development (NOGICD) Act 2010 supports and details expected Nigerian Content deliverables within contracts and projects in the Nigerian Oil and Gas industry.

NLNG is committed to the NOGICD Act 2010 and to Nigerian Content Development.

Interested companies shall comply with the provisions of the Nigerian Content Act that relate to the scope mentioned above of works and services and in particular, comply with the minimum Nigerian Content targets for the scope, which are covered in the Schedule of the Act.

Failure to comply with the NOGICD Act or demonstrate commitment to Nigerian Content development shall result in disqualification from pre-qualification for this contract.

General Nigerian Content Requirements Companies responding to this advertisement are required to submit the following in compliance with the NOGICD Act 2010:

(a) Documentation to demonstrate that the entity is a Nigerian- registered company. Submission of certified true copies of CAC forms 02 & 07 (or it’s equivalent; CAC 2.3, 2.4, 2.5, etc.) including company Memorandum and Article of Association. All companies shall be Nigerian indigenous Service Companies having 51% and above Nigerian equity in the shareholding and ownership structure of tenderers legally registered entity in Nigeria by CAMA (Companies and Allied Matters Act)

(b) Evidence of registration on the Nigerian Content Development Monitoring Board (‘NCDMB’) NOGIC Joint Qualification System (JQS).

(c) A detailed description of the location of in-country committed facilities & infrastructure (assets, technical office, administrative space, laboratory, etc.) in Nigeria to support this contract or submit a credible and verifiable plan towards setting up such facilities

(d) Further innovation proposals that would enhance the development of Nigerian Content on the service, including plans for transition to 100% Nigerian ownership of the company

(e) Explain the intended methodology for compliance with the requirements of the NOGICD Act 2010 and how it intends to give first consideration to services provided from within Nigeria, first consideration to goods manufactured in Nigeria and first considerations for employment and training of Nigerians in the work programme

(f) Evidence that the company is a Nigerian-registered company with 51 % equity shareholding & ownership

(g) Submit corporate organisational structure with the percentage of management that are Nigerian nationals and the percentage of the total workforce that are Nigerians.

(h) Submit valid Nigerian Content Equipment Certification

(i) In line with the Nigerian Content Development Human Capacity Development (‘HCD’) initiative, commit to providing project-specific training, utilising OGTAN registered trainer(s) or other NCDMB approved institution(s)

COMMENCEMENT AND DURATION Award of the call-off contract(s) is planned for Q4 2022, for a Period of up to four (4) years (inclusive of the warranty period). Site construction work shall be carried out at the industrial and operational areas of the NLNGs facilities in Rivers State, Nigeria.

SUBMISSION OF RESPONSES Submissions in response to the above requirements shall be completed strictly in accordance with the instructions given in this Publication, segregated and arranged in the order indicated.

Submissions are encouraged where there is an existing and proven alliance between companies with diverse and indistinct competencies, which make up the full scope of this advertisement. Such companies are advised to submit their Interest as one party. For submission from multiple companies’ alliances, similar review and assessment of each company shall be done and disqualification of one party automatically disqualifies the alliance or Joint Venture (JV) companies. For the avoidance of any doubt, the documentation of one company (tax clearance, certificate of incorporation, NUPRC, NMDPRA and NCDMB requirements, HSE, QA/QC policy, etc.) cannot suffice other JV companies.

(d) NLNG shall not be responsible for any cost incurred in responding to this invitation.

(e) This advertisement for EOI shall not be construed as a commitment by NLNG, nor shall it entitle respondents to claim any indemnity from NLNG and/or any of its shareholders y virtue of herring responded to this advertisement
